1. Welcome & Acceptance

Welcome to the OPTIMACY Affiliate Program (the “Program”), operated by APEX Sourcing LLC, doing business as “OPTIMACY.” By enrolling or participating, you agree to these Terms & Conditions. You must be 18 years or older or have the legal capacity to enter into binding agreements. APEX Sourcing LLC reserves the right to approve or reject any application at its sole discretion.

2. Definitions

  • Affiliate: The individual or entity approved to promote OPTIMACY products.
  • Qualified Sale: A completed customer purchase made via your unique affiliate link or assigned affiliate code, not canceled or refunded within the return window.
  • Commission: Compensation earned by the Affiliate for Qualified Sales, subject to the terms below.
  • Subscription Renewal: An automatic recurring order following a customer’s initial subscription purchase.
  • High-Performance Tier: A commission tier earned by meeting the performance thresholds in Section 5.4.

3. Enrollment & Approval

Enrollment is subject to review and approval by APEX Sourcing LLC. We may request information about your promotional channels (e.g., websites, social media accounts). Applications that promote adult content, hate speech, misinformation, or violate intellectual property law will be rejected or removed.

4. Promotion Guidelines

Affiliates may only promote OPTIMACY using brand-approved assets and must:

  • Never make medical claims about OPTIMACY products.
  • Always comply with FTC guidelines regarding affiliate disclosures.
  • Refrain from promoting on inappropriate or non-compliant channels (e.g., adult, gambling, or deceptive traffic).
  • Obtain prior written approval for paid advertising using brand terms (e.g., “OPTIMACY,” “Terrell Owens,” product names).
  • Avoid misrepresentation or false claims; violations will result in immediate termination.

5. Commission & Tracking

5.1 Standard Commission Rates

  • One-Time Purchases & First-Time Subscription Orders: 15% commission.
  • Subscription Renewals: 5% commission per renewal for up to six (6) months after the initial subscription purchase date.

5.2 Attribution Rules

  • One-Time Purchases: Commission credited only when the order is placed via the affiliate’s link/code within a 30-day cookie window (last-click attribution).
  • Subscriptions: Once a subscription customer is referred through the affiliate link/code, that customer will be assigned to the affiliate for renewal commissions during the six-month payout period, without requiring additional clicks.
  • After the 6-Month Renewal Period: No commission is paid unless a new order is placed through the affiliate’s link/code within the cookie window.

5.3 Exclusions

  • Wholesale, corporate, or special discounted orders negotiated outside standard pricing are not eligible for commission.
  • Self-referrals or personal purchases through your affiliate link are not eligible for commission.

5.4 High-Performance Tier (17.5%)
Affiliates (including approved groups) may qualify for an increased commission rate of:

  • 17.5% on one-time purchases and first-time subscription orders, and 7% on subscription renewals (six-month cap),
    when they meet either of the following in a calendar month:
    • 25 or more Qualified Sales, OR
    • $2,000 or more in tracked sales revenue
      Performance is reviewed monthly. If the affiliate does not meet the threshold for two consecutive months, rates will revert to standard commission levels.

6. Payment & Returns

  • Commissions are paid via PayPal 30 days after a Qualified Sale, provided the affiliate has met the minimum payout threshold of $50.
  • Balances below $50 will carry over until the threshold is met.
  • Accounts inactive for six (6) consecutive months and below the $50 threshold may have accrued commissions forfeited and the account deactivated at the discretion of APEX Sourcing LLC.
  • OPTIMACY offers a 45-day return policy. If a product is returned after commission payment, the amount will be deducted from future earnings.
  • APEX Sourcing LLC reserves the right to adjust, withhold, or revoke commissions in cases of fraud, self-referrals, or policy violations.

7. Intellectual Property & Confidentiality

All OPTIMACY trademarks, logos, and content remain the exclusive property of APEX Sourcing LLC.
Affiliates may not alter or misrepresent brand assets.
Any confidential campaign information (e.g., unreleased products or media) must not be shared externally.

8. Term & Termination

This agreement remains in effect unless terminated by either party. APEX Sourcing LLC reserves the right to remove an affiliate from the program at any time, with or without cause, especially in cases of policy violations. Pending commissions may be forfeited upon breach of terms.

9. Modifications to Terms

APEX Sourcing LLC may update these Terms & Conditions at any time. Changes will be posted and emailed to affiliates. Continued participation in the program constitutes acceptance of any changes.

10. Limitation of Liability

APEX Sourcing LLC provides this Program “as-is” and is not liable for any indirect damages, lost revenue, or earnings beyond paid commissions. Maximum liability is limited to $100.

11. Governing Law

These terms are governed by the laws of the State of Florida. Any disputes will be resolved in accordance with local laws through negotiation or legal arbitration if necessary.
